Terms of Service

1. Agreement to terms

By accessing or using CaptureLab (“Service”, “Platform”), operated by CaptureLab (“Company”, “we”, “us” or “our”), you agree to be bound by these Terms of Service (“Terms”). If you are accessing the Service on behalf of an organisation, you represent that you have authority to bind that organisation to these Terms. If you do not agree to these Terms, do not use the Service.

2. Description of service

CaptureLab is a federal acquisition intelligence platform that monitors SAM.gov for contract opportunities, applies pre-screening filters configured by each client, fetches full solicitation descriptions, and uses artificial intelligence to score and summarise each opportunity. The Service also provides pipeline management, team collaboration, document storage and email digest features.

All data sourced from SAM.gov is publicly available. CaptureLab does not guarantee that all opportunities published on SAM.gov are captured or that AI-generated fit ratings are accurate for any specific procurement.

3. Eligibility and accounts

You must be at least 18 years old and represent a legitimate business entity to use the Service. You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. You must notify us immediately of any unauthorised use at support@capturelab.ai.

4. Acceptable use

You agree not to:

  • Use the Service for any unlawful purpose or in violation of any federal, state or local regulations.
  • Reverse engineer, decompile, disassemble or attempt to derive the source code of the Service.
  • Use automated means (bots, scrapers) to access the Service beyond what is expressly permitted.
  • Resell, sublicense or otherwise transfer your rights to access the Service without our written consent.
  • Introduce malware, viruses or any malicious code into the Service.
  • Interfere with or disrupt the integrity or performance of the Service or its underlying infrastructure.

5. AI-generated content and disclaimers

Fit ratings, summaries and blurbs produced by the Service are generated by large language models and are provided for informational purposes only. They do not constitute legal, procurement or contracting advice. You remain solely responsible for evaluating whether any opportunity is appropriate for your organisation and for all bid, proposal and contracting decisions. CaptureLab expressly disclaims liability for any reliance on AI-generated content.

6. Subscription and payment

Access to the Service requires a paid subscription, the terms of which are set out in your order form or agreement with CaptureLab. Fees are billed in advance on a monthly or annual basis and are non-refundable except as required by applicable law. We reserve the right to change pricing on 30 days’ written notice. Continued use after a price change constitutes acceptance of the new pricing.

7. Intellectual property

All software, design, content and other materials comprising the Service are the exclusive property of CaptureLab or its licensors and are protected by applicable intellectual property laws. These Terms grant you a limited, non-exclusive, non-transferable licence to access and use the Service during your subscription term. No other rights are granted.

You retain ownership of all data, content and materials you upload to the Service (“Customer Data”). By uploading Customer Data you grant CaptureLab a limited licence to process that data solely to provide the Service.

8. Confidentiality

Each party agrees to keep confidential the other party’s non-public information and not to disclose it to third parties or use it for any purpose other than performing obligations under these Terms. This obligation does not apply to information that is publicly available through no fault of the receiving party.

9. Limitation of liability

To the fullest extent permitted by law, CaptureLab and its affiliates, officers, directors, employees and agents shall not be liable for any indirect, incidental, special, consequential or punitive damages, including but not limited to loss of profits, data, goodwill or business opportunities, arising from your use of or inability to use the Service, even if advised of the possibility of such damages.

Our aggregate liability to you for any claim arising from or related to these Terms or the Service shall not exceed the fees paid by you to CaptureLab in the twelve months preceding the claim.

10. Indemnification

You agree to indemnify, defend and hold harmless CaptureLab and its affiliates from any claims, damages, losses, liabilities, costs and expenses (including reasonable legal fees) arising from your use of the Service, your violation of these Terms or your violation of any third-party rights.

11. Termination

Either party may terminate these Terms on written notice. We may suspend or terminate your access immediately if you breach these Terms or if required by law. Upon termination, your right to access the Service ceases and we may delete your Customer Data after a reasonable retention period, unless otherwise required by law.

12. Governing law

These Terms are governed by the laws of the United States and the State of Delaware, without regard to conflict of law principles. Any disputes shall be resolved exclusively in the state or federal courts located in Delaware.

13. Changes to these terms

We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on the Service and updating the “Last updated” date. Continued use of the Service after the effective date of changes constitutes acceptance of the revised Terms.
